Terms of Service

Important:This document is a legal template. Have it reviewed by qualified counsel in your jurisdiction before relying on it. Listify is offered "as is" as described below.

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services offered by Listify ("Listify," "we," "us," or "our") (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

We may modify these Terms by posting an updated version on this page or notifying you by email or in-app notice. The "Last updated" date above will change. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, stop using the Service.

2. The Service

Listify provides software tools to help real estate professionals prepare marketing materials (for example, photo enhancement, AI-assisted text, video assets, and related features). The Service is not a brokerage, MLS, or legal advisor. We do not list properties on your behalf, negotiate transactions, or verify the accuracy of your content.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at support@listify.app if you suspect unauthorized access.

4. Your content and license to us

You retain ownership of content you submit (including listing details, notes, images, and generated outputs you choose to save) ("User Content"). You grant Listify a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and transmit User Content solely to operate, improve, secure, and provide the Service, including through subprocessors and AI providers as described in our Privacy Policy.

You represent and warrant that you have all rights necessary to submit User Content and that your use does not violate law, third-party rights, MLS or board rules, fair housing obligations, or your agreements with clients or brokerages. Do not submit special categories of sensitive personal data unless you have a lawful basis and our prior written consent where required.

5. AI outputs and no professional advice

Features that use artificial intelligence may produce inaccurate, incomplete, or inappropriate results. You are solely responsible for reviewing, editing, and approving all outputs before use in listings, advertising, or client communications. The Service does not constitute legal, tax, insurance, or fair housing advice.

6. Acceptable use

You agree not to:

  • Violate any law or regulation, or infringe others' intellectual property or privacy rights;
  • Use the Service to generate or distribute discriminatory, defamatory, fraudulent, or deceptive content;
  • Attempt to probe, scan, or test vulnerabilities, or bypass security or usage limits;
  • Reverse engineer, decompile, or scrape the Service except where applicable law forbids this restriction;
  • Use the Service to build a competing product using our data or outputs without permission;
  • Resell or redistribute the Service without our written agreement.

We may suspend or terminate access if we reasonably believe you have breached these Terms or create risk or possible legal exposure for us or others.

7. Third-party services

The Service integrates third-party services (for example authentication, hosting, databases, payment processing, AI models, and social platforms). Your use of those services may be subject to their terms. We are not responsible for third-party services or content.

8. Fees and payment

Paid plans, trials, and usage limits are described at checkout and in-app. Fees are billed through our payment processor. Unless required by law or stated otherwise, fees are non-refundable. We may change prices with reasonable notice.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access with or without notice if you breach these Terms, if we discontinue the Service, or for operational or legal reasons. Provisions that by their nature should survive (including warranties disclaimer, limitation of liability, indemnity, and governing law) will survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions our warranties are limited to the maximum extent permitted by law.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LISTIFY OR ITS SUPPLIERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

12. Indemnification

You will defend, indemnify, and hold harmless Listify and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content or use of outputs; (b) your violation of these Terms or law; (c) your violation of third-party rights; or (d) disputes between you and your clients, brokerage, or MLS. We may assume exclusive defense of any matter subject to indemnification at your expense, and you will cooperate.

13. Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. You and Listify consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes not subject to arbitration (if any), except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer in a jurisdiction that mandates different governing law or venue, those mandatory rules may apply despite this section.

14. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Listify regarding the Service.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Severability. If a provision is unenforceable, the remainder stays in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
